🎵 Instrumental Licensing, Download, and Purchase Terms

1. General Statement of Purpose

THE420 Inde. Artist Online Radio Station provides access to a curated selection of instrumental tracks (“Instrumentals”) made available by various producers and music creators (“Producers”) for download and purchase. These Instrumentals are intended for use by independent artists, recording studios, DJs, and other creative professionals who seek production music for vocal projects, background scoring, or promotional purposes.

All Instrumentals offered through the420inde.com and its affiliated digital storefronts are distributed under specific terms and licensing conditions, as outlined herein. These terms serve to protect THE420, the Producers, and all end-users while ensuring fair and transparent transactions.

By downloading, streaming, purchasing, or otherwise accessing any Instrumental from THE420, the user (“Buyer” or “Licensee”) agrees to all legal directives and terms contained in this agreement.

2. Download Options and Usage Rights

a. Free Downloads (Tagged Versions)

THE420 may offer certain Instrumentals for free download under a limited-use license. These free versions will contain audible producer tags, watermarks, or voice overlays identifying the creator or brand.

Free downloads are intended for listening, demo recording, evaluation, and non-commercial promotional purposes only.
They may not be:

Sold, sublicensed, or monetized in any form.
Distributed for profit or uploaded to streaming platforms (e.g., Spotify, Apple Music, YouTube Music) under a monetized account.
Used for synchronization in film, television, advertising, or other commercial distribution.

All free downloads remain the exclusive property of their respective Producers and of THE420 as distributor.

b. Paid Non-Exclusive Purchases (Untagged Versions)

Users may purchase non-exclusive licenses to Instrumentals without producer tags, granting them the right to use the instrumental for commercial release.
Under a non-exclusive purchase, the same Instrumental can and will be sold or licensed to multiple users.
Each Buyer receives a limited license that allows the use of the instrumental in a single commercial work or project, such as an album, single, video, or performance.

Non-exclusive purchases do not transfer ownership or copyright of the Instrumental to the Buyer.
The Producer retains full copyright ownership and may continue to license or distribute the same instrumental to other parties without restriction.

Licensee Rights (Non-Exclusive Purchase):

Use the instrumental for one commercial project.
Reproduce and distribute the finished work across digital platforms.
Perform or stream the finished work publicly.
Monetize the finished work on streaming services or music video platforms.

Licensee Restrictions:

May not resell or transfer the instrumental itself.
May not claim authorship or ownership of the original instrumental.
May not use the instrumental in advertising, film, or broadcast without separate written consent.

Each Instrumental will contain an EAN (European Article Number) as its unique identifier for verification and licensing purposes.
All purchases, records, and download histories will be traceable by this EAN for legal clarity and dispute resolution.

c. Exclusive Purchases

Certain Instrumentals may be offered under exclusive purchase options. When a Buyer purchases an Instrumental exclusively, that track is removed from public availability, and no further non-exclusive licenses will be sold by THE420 or the Producer.

Exclusive purchase terms include:

Buyer gains exclusive rights to use the instrumental for all forms of distribution, performance, or media use.
Copyright ownership remains with the Producer until explicitly transferred by a separate written agreement.
The exclusive license includes commercial rights for unlimited distribution, synchronization, and public performance.

Once an exclusive license is purchased and finalized, the track will be marked as SOLD EXCLUSIVE and no longer accessible to other users.

3. Pricing, Payment, and Final Sales Policy

All transactions made through THE420’s online platform are final and non-refundable.
Upon successful payment and confirmation, the Buyer gains immediate access to the download link for the purchased Instrumental(s).

Important Notice:

Because digital files cannot be “returned,” no refunds, exchanges, or cancellations will be accepted after purchase.
Buyers are encouraged to preview all tracks before completing payment.
THE420 assumes no responsibility for user error, mis-clicks, or accidental purchases.

All prices listed are in U.S. Dollars (USD) unless otherwise noted. Taxes, service fees, or transaction costs are applied at checkout.

4. Royalties and Revenue Clarification

THE420 acts strictly as a digital distributor and facilitator between Producers and Buyers.
We do not participate in, monitor, or administer royalty payments, publishing splits, or mechanical licensing between parties.

All responsibility for royalty administration lies with the Producer and the Buyer under their respective agreements.
By purchasing or downloading any Instrumental, the Buyer acknowledges that:

THE420 does not assist with royalty registration, tracking, or payouts in any form.
Any performance, mechanical, synchronization, or publishing royalties must be independently handled by the Buyer and/or Producer.
THE420 is not responsible for disputes regarding ownership, performance rights, or royalty claims.

5. Intellectual Property and Copyright Notice

All Instrumentals, cover art, logos, metadata, and associated materials distributed through THE420 are copyright-protected works under applicable U.S. and international copyright laws.

Unauthorized reproduction, resale, or redistribution of any Instrumental, whether free or paid, constitutes copyright infringement and may result in legal action.
THE420 and its affiliates reserve the right to take necessary legal measures to protect the rights of Producers and the company itself.

Buyers are granted only those rights expressly stated in their specific purchase or download license. No implied rights or ownership transfers are included.

6. Liability Disclaimer

To the fullest extent permitted by law, THE420, its owners, officers, employees, and affiliates are not liable for any indirect, incidental, or consequential damages arising from the use or inability to use any Instrumental.

This includes but is not limited to loss of revenue, business interruption, data loss, or reputational damage.
All Instrumentals are provided “as-is” without warranty of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

THE420 disclaims any responsibility for technical issues, corrupted downloads, or software incompatibilities encountered during the use of purchased files.

7. User Obligations and Compliance

By engaging in any download or purchase, the Buyer affirms that they:

Are at least 18 years of age or have obtained parental/guardian consent.
Will use the instrumental in compliance with applicable copyright and licensing laws.
Will not use the track in a defamatory, hateful, or illegal context.
Agree to credit the Producer where applicable, unless otherwise agreed in writing.

Violation of any of these obligations may result in the revocation of license rights and potential legal action.

8. Dispute Resolution and Legal Jurisdiction

All disputes arising under these terms shall be governed by and interpreted in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

Any legal proceedings related to THE420 shall be filed and conducted exclusively in the state or federal courts located in Dallas County, Texas.
By engaging in transactions on THE420’s platform, Buyers and Producers consent to the jurisdiction and venue of these courts.

9. Modification of Terms

THE420 reserves the right to update, revise, or modify these Terms at any time without prior notice.
All updates will be reflected with a new “Effective Date” and immediately apply to any future transactions.
It is the Buyer’s responsibility to review this page periodically to remain informed of any changes.

11. Company Rights and Enforcement

THE420 retains the right to suspend, remove, or restrict any listing or user account found in violation of these terms.
We may also refuse service, terminate access, or block accounts engaged in fraudulent, deceptive, or abusive behavior.

All users agree that THE420’s decisions in enforcing these terms are final and binding.

12. Final Legal Disclaimer

By downloading, purchasing, or otherwise accessing any Instrumental from THE420, the user acknowledges and accepts that:

All sales are final.
Instrumentals may be downloaded by multiple users unless marked as “Exclusive.”
Exclusive rights only apply once the exclusive purchase is confirmed.
THE420 is not a party to any royalty, publishing, or copyright transfer agreements between the Producer and Buyer.
THE420 serves as a neutral third-party platform providing access to digital sound recordings for creative use.

Use of this site or any related digital property constitutes acknowledgment and acceptance of these terms in their entirety.
